Working with
BYMANGO DESIGN
These terms apply to quotations and assignments from BYMANGO DESIGN, based in Amsterdam, Chamber of Commerce 81949219, VAT ID NL003622683B51. Contact: info@bymangodesign.com or +31 6 8366 1183. We provide our full business and correspondence address with the quotation or confirmation before the contract is concluded.
Our services include graphic design, logos and vector conversion, branding, visual identities, flyers, posters, social media assets, artist posts, timetables, animation, motion design, AI visuals and video, web design, filming, promos, aftermovies and editing. Print-ready files and print coordination are included only if agreed.
‘You’ means the client; ‘we’ or ‘us’ means BYMANGO DESIGN. A business client acts for professional or business purposes; a consumer acts for private purposes. Business-only provisions do not apply to consumers. Mandatory legal rights always remain applicable.
The quotation or assignment confirmation takes precedence over these terms. We record exceptions by email or WhatsApp. We expressly reject business clients’ own terms.
Quotation, acceptance and assignment
A quotation is valid for 30 days unless stated otherwise and describes the work, price, delivery and special arrangements. A date in an unaccepted quotation is not a reservation unless we confirm it separately.
The contract is concluded on acceptance, for example by email, WhatsApp, signature or verbally. Where possible, we confirm verbal agreements in writing. You receive these terms before or when concluding the contract in a form you can retain.
We start after acceptance and receipt of the agreed advance payment. It must arrive before work or filming starts, even if the invoice deadline is later. Missing payment or input may shift the schedule.
We work carefully and professionally within the agreed creative direction. We may engage suitable freelancers or specialists and remain responsible for our own contract.
Prices, additional work and rush work
Business prices exclude VAT unless stated otherwise. Consumers receive the total price including VAT and known mandatory charges. We agree hourly rates, fixed prices and external costs in advance; these terms set no fixed hourly rate.
A package price covers the agreed content, scope and uses. Hour estimates are indicative; we do not increase a fixed price without approval. We discuss anticipated overruns before doing extra work.
Extra assets, new requests, a different creative direction and changes outside the assignment are additional work at the agreed hourly rate or a separate price. We first obtain approval for the work and costs or estimate. We correct our own errors within the assignment free of charge.
Work requested for execution or delivery within 48 hours carries an agreed 50% rush surcharge on the fee for that rush work. It is paid fully in advance unless agreed otherwise. The surcharge does not automatically apply to external costs. We agree the schedule and feedback time beforehand.
Advance payments and invoices
Aftermovies: all clients, including existing clients, pay 50% in advance before we leave for the filming location. We invoice the balance afterwards unless the quotation states otherwise.
Event flyers: new clients pay 100% before work starts. Existing clients pay afterwards unless agreed otherwise in advance.
Other assignments: new clients normally pay 50% in advance; existing clients pay afterwards. The quotation may specify otherwise. The aftermovie, event flyer and rush arrangements take precedence.
Pay by bank transfer within 14 days of the invoice date unless agreed otherwise. Advance payments remain due before work or filming starts. We credit them against the assignment price and, on termination, against the final amount owed.
For overdue payments we normally send a reminder three days after the deadline; this does not extend it. Statutory interest and reasonable collection costs apply when legal requirements are met. Business clients owe statutory commercial interest from default. Before collection costs, consumers receive a compliant free notice allowing 14 days from the day after receipt; costs stay within statutory limits.
For overdue amounts due, we may proportionately suspend work and delivery after notifying you. After payment, we resume subject to availability. Consumers retain their statutory rights to suspend payment and set off claims.
Scheduling, input and feedback
We agree filming dates, hours and delivery schedules per assignment. Scheduling requires timely payment, complete input, availability and feedback. An essential final deadline must be expressly agreed beforehand.
Late input or feedback means rescheduling subject to availability; already scheduled clients take priority. Delivery shifts as necessary. We inform you of the new schedule.
We agree feedback and revisions per project, with no standard number of rounds. Preferably consolidate feedback through one contact person. New requests outside the assignment are additional work.
After 30 days without a reply to a request needed to proceed, we may pause the project after notifying you. We agree resumption subject to availability. A pause is not approval, delivery or loss of rights; completed work and agreed costs may still be invoiced.
Your materials and checks
Provide complete, accurate and usable information. Always check supplied and processed text, spelling, artist names, line-ups, dates, times, locations and other details, even when we copy them directly.
You are responsible for errors in your information that we reproduce correctly. We point out obvious errors we notice. We correct our departures from accurate input and other errors of our own without extra design charges. Further liability is governed by article 16.
Arrange the copyright permissions, licences, image rights and consents for supplied photos, videos, logos, text, music and other materials, for both the assignment and intended use. Provide evidence on request; supplying material does not establish permission.
Business clients indemnify us against claims arising from missing rights or unlawful instructions attributable to them. This does not cover BYMANGO DESIGN’s own errors or unlawful conduct. Statutory liability rules apply to consumers.
We may refuse unusable, unlawful or unsuitable material with reasons based on the agreed quality and direction. Improvements, vector conversion or a new design may be paid additional work, only after approval. A change in personal taste does not justify unilaterally changing an accepted assignment.
Delivery and approval
We deliver the agreed formats, resolutions and versions. Extra formats, social media versions or print-ready files are not automatically included and may be additional work.
After delivery we request explicit approval by email or WhatsApp. Check before publication, printing or onward sharing and tell us the planned publication date. Silence is not automatic approval.
Even if you use work before approval, payment, usage arrangements and your responsibility for supplied details and approved choices still apply. Publication does not waive statutory rights relating to defects.
We do not deliver open or editable Illustrator, Photoshop, After Effects, Premiere or other project files. Raw footage is available only on request under separate agreements on price, selection, format and usage rights.
Downloading and storage
We normally retain project files and available source material for 90 days after final delivery. We may then delete them unless agreed otherwise or legally required to retain them. We retain personal data no longer than necessary.
Download, check and securely store your final files in time. Links may expire earlier; we state their validity. Request a new link within the retention period if needed.
This is not an ongoing archive or backup service. Redelivery or recovery may incur extra costs after prior approval. Our statutory responsibility for loss attributable to us remains applicable.
Copyright and your usage rights
Rights in our original designs, films, animations and other creations remain with BYMANGO DESIGN insofar as we hold them. Payment does not transfer copyright. Rights in client material, stock, music, fonts and other third-party contributions remain with their respective owners.
You receive a non-exclusive, worldwide licence without a fixed end date for the approved final work for your own business, brand or event, including websites, social media, advertising and your own promotion, within the assignment and licences. We may agree otherwise. We do not reuse an original logo as another client’s logo; portfolio and presentation rights remain.
New clients may use final work only after full payment for the assignment. Existing clients may use it within the invoice payment period. On default, we may suspend that provisional licence following written warning and a reasonable opportunity to remedy, where legally permitted.
Resale, offering templates, rental, transfer and independent exploitation by third parties require prior written permission and a separate agreement. Merchandise also requires a separate written agreement. Sharing with printers, platforms or contractors for permitted, unchanged use is allowed.
Unselected concepts, unused or undelivered versions, sketches, our templates, presets and working methods remain ours. You receive no licence to them, including for development by others. We may reuse our general tools, respecting confidentiality and third-party rights.
No unauthorised editing or resale
You may not modify, reconstruct or have final work edited by another designer, editor or third party without prior written permission. Providing a file for editing, template use or a derivative design is also prohibited. This applies after full payment too, including changes to text, artists, colours, composition or typography and reuse for another event. Request changes from us under the additional-work arrangements.
An unchanged flyer may be shown as a whole in someone else’s video. Non-distorting scaling and compression for agreed publication are allowed if the design, content and legibility remain intact. Cropping the design, animating individual elements or changing content requires permission. Other designers may incorporate a supplied logo unchanged into your own visual identity, website or assets; they may not alter it or create variants.
For unauthorised use, we may require cessation, removal or restoration and compensation for demonstrable loss. Business clients only are additionally subject to the following contractual penalty for unauthorised editing, having work edited or resale attributable to them. We notify you of the breach in writing and allow seven calendar days after receipt to stop, remove or restore altered work and reasonably limit further distribution. The penalty is due only if you fail to comply in time.
The penalty equals the fee for the affected final work, excluding VAT and external costs, capped at €500 per independent breach and €1,500 in total per assignment. Work not priced separately is allocated a reasonable share of the fee supported by the quotation. Related acts involving the same work in the same action count as one breach, not separately per copy, channel or day. Permitted use and consumers are excluded from this penalty provision.
Cessation and restoration obligations remain alongside the penalty. For the same breach, the penalty is credited against damages; only demonstrable loss exceeding it and legally recoverable costs may be claimed additionally, without double recovery. This departs from article 6:92 paragraphs 1 and 2 of the Dutch Civil Code. Payment does not authorise further use. The court’s statutory power to reduce the penalty remains applicable.
Our own use, portfolio and credits
We may show our final work and elements of it in portfolios, websites, social media, presentations, competitions and our own promotion. We normally choose timing, medium and form, including before your publication, unless we agree confidentiality or an embargo in writing.
This right remains subject to privacy, image rights, confidentiality and third-party licences. We arrange the rights and legal basis needed for our own use. Agree confidentiality before sharing material or starting the assignment; clearly confidential material and unlawful disclosure are not freely publishable even without a separate agreement.
We appreciate a BYMANGO DESIGN tag or credit where reasonably possible, but it is optional. We include our logo or name in your final work only by prior agreement.
Filming on location and travel costs
We agree filming hours, location, content and delivery in advance. Extra hours or overruns are charged only with your or your contact person’s approval, at the agreed rate and subject to availability.
Arrange access, accreditation, crew passes, permits, location and artist permissions, a contact person and a safe workplace. Provide visitor information and the rights or consents needed for filming and publication. We respect reasonable objections to filming and retain our own statutory responsibilities.
If access, permission or cooperation is missing on your side, reserved time normally continues running; filming time and results may be limited. We notify you and minimise the impact where possible. For business clients, an impediment attributable to you does not automatically entitle you to a discount.
Specific shots, moments, crowds, lighting, weather or artist attendance are not guaranteed. We provide a professional effort within the circumstances. We may stop unsafe or unlawful work and seek a solution with you.
We agree travel and parking costs beforehand. The quotation states departure from Amsterdam or Amersfoort, the mileage rate or fixed amount and whether both journeys are included. Parking is charged at actual, agreed costs. Travel time, accommodation, tolls and international travel costs are charged separately only if agreed. A different departure point does not increase costs without approval.
Music, AI and third-party materials
You arrange and pay for music licences for production and use, including necessary synchronisation, recording and publication rights. Spotify, a purchased track or a venue licence does not automatically cover music in video. Supply music and rights in time; we manage licences only if agreed.
We use protected material only with appropriate rights. If rights are missing or unclear, we may refuse, suggest alternatives or postpone delivery. Client responsibility does not justify deliberate infringement by us.
We may use suitable AI tools, stock, fonts, templates, software and third-party tools unless agreed otherwise. Extra licence costs require prior approval. We disclose third-party terms and restrictions; you may need your own licence. We grant no more rights than we hold.
AI results are not automatically exclusive or copyright-protected; we promise exclusivity only if separately agreed and feasible. We do not share confidential or protected material or personal data with tools without an appropriate legal basis and arrangements. Where needed, we make data processing arrangements and discuss applicable transparency or publication duties.
Print-ready files and production
Print-ready files, prepress and print coordination are included only if agreed; otherwise they are additional work subject to approval. Digital files are not automatically suitable for every print size or technique.
Explicitly approve the proof before production, including text, dimensions, quantities, finishing and print details. Your supplied errors and correctly displayed, approved choices are your responsibility. Our own errors and necessary warnings remain our responsibility.
If you order directly from a printer, you conclude and pay for that contract yourself. Ordering or coordination through us requires advance agreement on fees, costs and our role. If we are your contractual supplier, our statutory obligations remain applicable.
Minor technically customary colour and material differences between screen, proof and print are possible; this does not permit substantial departures from agreed specifications.
Cancellation and rescheduling
Notify cancellation or rescheduling as soon as possible, preferably by email or WhatsApp. For business shoots, event recordings and aftermovies, the schedule below applies to the total agreed assignment price excluding VAT and separately budgeted external costs, measured until filming starts.
CANCELLATION / BUSINESS SHOOTS
| Cancellation notice | Charge |
|---|---|
| More than 7 days before the shoot | 25% |
| From 7 days to more than 48 hours before | 50% |
| 48 hours or less / failure to attend | 100% |
Of the agreed assignment price. Settlement and consumer rights are set out below.
The schedule compensates reserved capacity and work; it is not added on top of the full assignment price. Approved, non-recoverable external costs such as crew or hire may be added only where not already included. No double recovery: we credit advances and account for savings and replacement income for the same capacity where reasonable and legally required.
Event cancellation due to weather, permits, location issues or low ticket sales follows the same rules while we can perform. If a cause not attributable to us also makes our performance impossible, article 17 applies.
You may reschedule free of charge up to and including 14 days beforehand if we are available. Approved external costs that cannot be moved or recovered remain part of the settlement. Within 14 days we agree charges and scheduling case by case. Without agreement on a new date, the original reservation remains.
For cancellation of design, branding, editing or other work without a shoot, once started we charge actual completed work at the agreed rate and agreed non-recoverable external costs. We do not automatically charge fully for unperformed work. We credit advances and refund any excess.
The shoot schedule does not automatically apply to consumers. Outside any applicable free withdrawal period, a reasonable statutory settlement takes account of work, benefit to the client, unavoidable costs, savings and circumstances. Full payment is due only where permitted by law and circumstances. Statutory rules apply to cancellation caused by our breach.
Remedies and liability
Report errors and, where possible, give us a reasonable opportunity to investigate and remedy them. Both parties take reasonable steps to limit loss. We correct our own errors within the assignment free of charge.
Business clients only: our total liability for attributable direct loss per assignment is limited to the agreed fee excluding VAT, including additional work. Related events count as one. For ongoing assignments, the limit is the fee for the six months before the event causing loss.
Business clients only: indirect loss, including lost profit or revenue, missed ticket sales, savings, reputational harm and business interruption, is excluded. We guarantee no commercial result or reach.
These limits do not apply to intent or deliberate recklessness by BYMANGO DESIGN or our management, death or personal injury, or where a limit is legally prohibited or unacceptable under standards of reasonableness and fairness. Statutory liability rules apply to consumers without these business limits.
Illness, disruption and force majeure
If illness or unavailability affects a shoot, we promptly seek a suitable replacement in consultation with you. Availability cannot be guaranteed. You do not pay for any part ultimately not performed; we refund the corresponding advance.
Force majeure is an impediment legally not attributable to us, such as extreme weather, power failure or government measures making performance impossible. Technical failure, illness or lost files are not automatically force majeure; normal business risks and inadequate precautions remain our responsibility.
We report disruption promptly and first seek performance, replacement or rescheduling. If no reasonable solution exists or the event date would be missed, either party may terminate the unperformable part. We do not charge that part as completed work.
Usable completed work is settled insofar as legally owed. We discuss approved external commitments that cannot be cancelled or recovered separately; charging them is allowed only within prior agreements and the law, without double recovery.
Additional consumer rights
For distance or off-premises contracts, consumers have a 14-day withdrawal period where required by law, starting the day after conclusion for services. Exceptions apply only if the assignment legally qualifies and you are informed beforehand. Bespoke work alone does not exclude withdrawal for services.
Starting during the withdrawal period requires your express request and acknowledgement of the consequences. On withdrawal you pay only proportionately for services supplied if statutory information and consent requirements are met. Withdrawal expires on full performance only with prior express consent and acknowledgement. Digital content without a physical medium has separate information, consent and confirmation requirements; general acceptance is insufficient.
Withdraw by a clear statement to info@bymangodesign.com; the form below is optional. We confirm receipt and refund the amount due within 14 days using the same payment method unless you agree to another free method. Legally owed payment for supplied services may be deducted.
Model withdrawal form — To: BYMANGO DESIGN, info@bymangodesign.com, at the supplied correspondence address. I withdraw from the contract for the following service: […]. Ordered on: […]. Consumer name: […]. Consumer address: […]. Date: […]. Signature: […] (paper only).
Mandatory consumer rights, including those relating to defects, termination, withdrawal, payment and competent courts, remain applicable. General references do not make business-only provisions apply to consumers.
Questions, complaints and disputes
Report errors or complaints to info@bymangodesign.com as soon as you could reasonably discover them, describing the issue and preferably providing a file or example. We set no general seven-day complaint deadline; statutory complaint and limitation periods remain applicable.
We first seek a solution together without blocking legal action, urgent measures or timely protection of rights. A complaint does not automatically suspend the whole invoice; statutory suspension rights remain.
Dutch law applies. Consumers abroad retain their mandatory protections. Business disputes go to the competent court of the Amsterdam District Court unless mandatory law provides otherwise. Consumers use the court competent by law.
The version agreed beforehand applies; website changes do not automatically change ongoing assignments. If a provision is invalid, the others remain where possible and we seek a valid replacement with the same purpose without removing statutory protections.
Dutch is the original text and prevails over the English translation in case of differences insofar as legally permitted. Mandatory consumer protection remains applicable.
